PLEASE READ THESE CUSTOMER TERMS OF SERVICE CAREFULLY.

Our Customer Terms of Service is a contract that governs our customers' use of the Growth-Drive services, including the CLARITY Strategic Capacity Analysis & Business Value Analysis software.

We’ve aimed to keep this as readable as possible, but in some cases for legal reasons, some of the language is necessarily “legalese”. By using Growth-Drive’s products and services you are agreeing to these terms.

We update these terms from time to time. If you have an active Growth-Drive subscription, we will let you know when we update the terms via in-app notification or by email.

General Terms

1. Definitions

Affiliate means any entity which directly or indirectly controls, is controlled by, or is under common control with a party to this Agreement.

Agreement or “Customer Terms of Service” means these General Terms and all materials referred to here.

Authorized Payment Method means a current, valid payment method accepted by us.

Billing Period means the period for which you agree to prepay fees.

Calculation of Value refers to Growth-Drive’s CLARITY™ Strategic Capacity Analysis, which assesses growth and transferable equity value.

The CLARITY Strategic Capacity Analysis incorporates generally accepted business principles to reduce subjectivity in valuation and predict value monetization.

Confidential Information includes all non-public business, financial, technical, and Customer Data.

Customer Data means all information submitted or collected via the Subscription Service.

Subscription Service means all Growth-Drive web-based applications, tools, platforms, training, and support.

You / Customer means the individual or entity using the Subscription Service.

2. Use of Services

You must be at least 18 years of age to use the Subscription Service.

You agree to comply with the Acceptable Use Policy.

THE SUBSCRIPTION SERVICE IS NOT DESIGNED TO PROCESS SENSITIVE INFORMATION.

3. Fees

All fees are non-refundable unless expressly stated otherwise.

4. Term and Termination

Subscriptions renew automatically unless canceled according to these terms.

5. Customer Data

You retain ownership of Customer Data. Growth-Drive processes data solely to provide services.

6. Intellectual Property

All intellectual property rights remain with Growth-Drive.

7. Confidentiality

Both parties agree to protect Confidential Information.

8. Publicity

You grant Growth-Drive the right to list you as a customer unless you opt out.

9. Indemnification

You agree to indemnify Growth-Drive against third-party claims arising from misuse.

10. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

11. Miscellaneous

This Agreement constitutes the entire agreement between the parties.
